TERMS AND CONDITIONS


1. Applicability

These general terms and conditions apply to all assignments given to Libertad y Independencia Holdings B.V., operating under the trade name Jouw Vastgoedjurist and translations thereof (hereinafter: JVJ).(hereinafter JVJ).


2. Assignments and Related Persons

All assignments are deemed to be given exclusively to JVJ and not to any affiliated person of JVJ. The provisions of Articles 7:404, 7:407(2), and 7:409 of the Dutch Civil Code are explicitly excluded. Affiliated persons of JVJ include current or former shareholders or employees of JVJ. Persons affiliated with JVJ include current or former shareholders or employees of JVJ.


3. Liability

The liability of JVJ, its affiliated persons, and all persons involved in executing an assignment is limited to the amount paid out under JVJ's professional liability insurance. As of the date of these general terms and conditions, the insured amount under this insurance is EUR 500,000 per claim.


4. Statute of Limitations

A Claim against a (legal) person mentioned in the previous article lapses if JVJ is not notified in writing of the claim within one year after the discovery of an event or circumstance that could lead to liability.


5. Limitation of Liability.

If the aforementioned insurance does not pay out for any reason, the liability of JVJ is limited to the fee paid by the client for the assignment fee paid to JVJ, up to a maximum of EUR 5,000.


6. Indemnification

The client shall indemnify and hold JVJ harmless from and against any third party claims arising from or related to the assignment or the work. Unless such a claim results from JVJ’s intent or gross negligence.


7. Enabling Unconnected Persons

If JVJ engages a person not associated with it in the performance of an assignment, JVJ shall not be liable to the client for any errors made by such person. If such a person engaged by JVJ wishes to limit its liability, JVJ may accept such limitation of liability on behalf of the client.


8. Fee and Payment.

Fees for standalone advice are charged in advance. If an hourly rate has been agreed upon, the total amount due is calculated by multiplying the hours worked by the hourly rate set by JVJ. All amounts are exclusive of VAT and any taxes, surcharges, or similar increases that the client, payer, or JVJ is legally required to pay or charge under applicable regulations.
Except for fees charged in advance, JVJ issues invoices on a monthly basis. Payments must be made within 14 days of the invoice date.


9. Advance

JVJ may require the client to pay an advance before commencing the assignment. Any advance received will be deducted from the final invoice for the relevant assignment.


10. Cancellation

Appointments or consultations can be cancelled free of charge up to 24 hours in advance. After that, the full amount for the consultation or the reserved time for the appointment will be charged.


11. Indexation and Adjustment of Hourly Rates

JVJ may index the agreed hourly rates annually on January 1 based on the Dutch Central Bureau of Statistics (CBS) price index. Other changes to the agreed hourly rates will be communicated to the client as early as possible.


12. Rights of Affiliated Persons

Not only JVJ, but also any affiliated or formerly affiliated person, as well as their legal successors, may invoke these general terms and conditions.


13. Governing Law and Jurisdiction

The legal relationship between JVJ and its clients is governed by Dutch law. The Court of Amsterdam has exclusive jurisdiction in the first instance to take cognizance of a dispute between JVJ and a client.


14. Language Version

These general terms and conditions are available in multiple languages. The Dutch version is the authoritative version.
